TRITE – Terms of Service

1. Introduction

Welcome to TRITE (“TRITE”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of the TRITE platform, website, applications, and related services (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

2. Nature of the Services

TRITE is a legal technology platform designed to assist legal professionals with legal research, document analysis, summarisation, knowledge management, and AI-assisted workflow support.

TRITE is a technology tool only.

TRITE does not:

  • provide legal advice;
  • act as a law firm or legal practitioner;
  • create an attorney-client relationship with users or third parties; or
  • guarantee the accuracy, completeness, or reliability of any generated output.

Users remain solely responsible for:

  • independently verifying all information, outputs, summaries, citations, and legal authorities;
  • exercising professional judgment at all times; and
  • ensuring compliance with all applicable laws, professional rules, ethical obligations, and court requirements.

3. Eligibility

You may only use the Services if:

  • you are at least 18 years old;
  • you have the legal capacity to enter into binding agreements; and
  • your use of the Services complies with all applicable laws and professional obligations.

If you use the Services on behalf of a law firm, company, or other entity, you represent that you have authority to bind that entity to these Terms.

4. Account Registration and Security

To access certain features, you may be required to create an account.

You agree to:

  • provide accurate and complete information;
  • maintain the confidentiality of your login credentials;
  • promptly update your account information where necessary; and
  • immediately notify us of any unauthorized access or suspected security breach.

You are responsible for all activity occurring under your account.

5. AI-Generated Content and Limitations

The Services may use artificial intelligence and machine learning technologies to generate summaries, analyses, search results, recommendations, draft content, and other outputs (“AI Outputs”).

You acknowledge and agree that:

  • AI Outputs may contain inaccuracies, omissions, hallucinations, outdated information, or incorrect legal conclusions;
  • AI Outputs are generated probabilistically and may differ between sessions;
  • TRITE does not warrant that AI Outputs are correct, authoritative, or suitable for any specific purpose; and
  • all AI Outputs must be independently reviewed and verified by a qualified legal professional before reliance or use.

You assume full responsibility for any reliance on AI Outputs.

6. User Content

You may upload documents, files, text, prompts, communications, and other content (“User Content”) to the Services.

You retain ownership of your User Content.

By uploading User Content, you grant TRITE a limited, non-exclusive, worldwide license to:

  • host;
  • process;
  • store;
  • index;
  • analyse; and
  • use the User Content solely for the purpose of operating, maintaining, improving, and providing the Services.

You represent and warrant that:

  • you own or have the necessary rights to upload the User Content;
  • the User Content does not violate any law or third-party rights; and
  • your use of the Services complies with all confidentiality obligations and professional duties.

7. Confidential and Sensitive Information

TRITE understands that users may upload confidential legal and client-related information.

While we take reasonable technical and organisational measures to protect data, you acknowledge that:

  • no internet-based system is completely secure;
  • electronic storage and transmission carry inherent risks; and
  • you upload and process information at your own risk.

Users are responsible for ensuring that their use of the Services complies with all applicable confidentiality, privilege, data protection, and professional conduct obligations.

8. Acceptable Use

You agree not to:

  • use the Services for unlawful purposes;
  • infringe intellectual property or privacy rights;
  • upload malicious code, viruses, or harmful material;
  • attempt to gain unauthorized access to systems or accounts;
  • interfere with the operation or security of the Services;
  • use the Services to generate unlawful, fraudulent, defamatory, or abusive content; or
  • reverse engineer, scrape, or exploit the platform beyond authorized usage.

We reserve the right to suspend or terminate accounts that violate these Terms.

9. Subscription Plans, Credits, and Billing

Certain features of the Services may require payment, subscriptions, or usage credits.

Pricing, subscription structures, usage limitations, and billing terms may be updated from time to time.

Unless otherwise stated:

  • fees are non-refundable;
  • credits may expire if specified at the time of purchase;
  • unused credits have no cash value; and
  • we may suspend access for overdue or unpaid amounts.

Users are responsible for applicable taxes associated with their use of the Services.

10. Intellectual Property

The Services, including all software, branding, logos, interfaces, designs, content, and underlying technology, are owned by or licensed to TRITE and are protected by intellectual property laws.

Except as expressly permitted, you may not:

  • copy;
  • reproduce;
  • distribute;
  • modify;
  • create derivative works from; or
  • commercially exploit

any part of the Services without prior written consent.

11. Availability and Service Modifications

We may modify, suspend, discontinue, or update any part of the Services at any time without notice.

We do not guarantee:

  • uninterrupted availability;
  • error-free operation;
  • compatibility with all systems; or
  • continuous access to any feature.

Maintenance, outages, third-party service failures, or technical issues may affect availability.

12. Third-Party Services

The Services may integrate with or rely upon third-party providers, including cloud providers, AI model providers, search services, storage providers, analytics providers, and payment processors.

We are not responsible for:

  • third-party services;
  • their availability;
  • their accuracy; or
  • their security practices.

Your use of third-party services may also be governed by their own terms and policies.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRITE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • RELIABILITY; OR
  • AVAILABILITY.

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL BE ERROR-FREE;
  • AI OUTPUTS WILL BE ACCURATE;
  • DATA WILL NEVER BE LOST;
  • THE SERVICES WILL ALWAYS BE AVAILABLE; OR
  • SECURITY BREACHES WILL NEVER OCCUR.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRITE, ITS DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

  • INDIRECT;
  • INCIDENTAL;
  • SPECIAL;
  • CONSEQUENTIAL;
  • PUNITIVE; OR
  • LOSS-OF-PROFIT DAMAGES.

This includes damages arising from:

  • reliance on AI Outputs;
  • legal errors or omissions;
  • data loss;
  • business interruption;
  • service outages; or
  • unauthorized access.

Our total aggregate liability arising from or relating to the Services shall not exceed the amount paid by you to TRITE during the twelve (12) months preceding the claim.

15. Indemnity

You agree to indemnify and hold harmless TRITE and its affiliates, officers, employees, contractors, and agents from any claims, damages, liabilities, losses, or expenses arising from:

  • your use of the Services;
  • your User Content;
  • your violation of these Terms; or
  • your violation of applicable laws or third-party rights.

16. Termination

We may suspend or terminate your access to the Services at any time if:

  • you breach these Terms;
  • we suspect unlawful or abusive conduct; or
  • continued access poses operational, legal, or security risks.

You may stop using the Services at any time.

Upon termination:

  • your right to use the Services ceases immediately; and
  • we may delete or retain data in accordance with our operational and legal requirements.

17. Privacy

Your use of the Services is also governed by our Privacy Policy.

18. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of South Africa.

19. Changes to These Terms

We may update these Terms from time to time.

Updated versions will be posted on the platform with a revised effective date.

Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
